UK Standard Promotional Terms and Conditions
These Standard Promotional Terms and Conditions ("Standard Terms") apply to all promotional activities operated by E. Flahavan & Sons Ltd, including prize draws, competitions, and giveaways (each a "Promotion"). These Standard Terms should be read in conjunction with the Specific Terms applicable to each Promotion, which will be set out in the relevant marketing materials, on the Promotion landing page, or in a separate document accompanying the Promotion (the "Specific Terms"). In the event of any conflict between these Standard Terms and the Specific Terms, the Specific Terms shall prevail.

1. The Promoter
1.1 The promoter of all Promotions is E. Flahavan & Sons Ltd trading as Flahavans, Kilnagrange Mills, Kilmacthomas, Co. Waterford, X42 N235, Ireland (the "Promoter").
1.2 Where a Promotion is administered by a third party on behalf of the Promoter, details will be provided in the Specific Terms.
2. Types of Promotion
2.1 These Standard Terms cover the following types of Promotion:
2.1.1 Giveaways: Promotions where participants may claim a free item or benefit (subject to availability and any conditions set out in the Specific Terms), without any element of chance or skill being involved in the allocation of items.
2.1.2 Prize Draws: Promotions where winners are selected at random from eligible entries.
2.1.3 Competitions: Promotions where winners are selected based on the exercise of skill or judgement.
2.2 The Specific Terms will confirm which type of Promotion is being operated and any particular terms applicable to that Promotion.
3. Eligibility
3.1 Unless otherwise stated in the Specific Terms, Promotions are open to residents of the United Kingdom (including Northern Ireland) aged 18 years or over at the time of entry.
3.2 The following persons are not eligible to enter any Promotion:
3.2.1 employees or workers of the Promoter, or the employees or workers of any company in the Promoter's group;
3.2.2 employees or workers of any organisation involved in the operation or administration of the Promotion, including prize suppliers, fulfilment partners, and advertising or promotional agencies; and
3.2.3 members of the immediate families of any of the above.
3.3 The Promoter may request proof of age, residence, or eligibility at any time. Failure to provide satisfactory evidence within a reasonable timeframe may result in disqualification or forfeiture of any prize or giveaway item.
3.4 The Promoter's decision as to eligibility is final and no correspondence will be entered into.
4. How to Enter
4.1 Entry methods, any applicable entry limits, and entry deadlines will be set out in the Specific Terms and/or the relevant marketing materials.
4.2 Unless otherwise stated in the Specific Terms:
4.2.1 no purchase is necessary to enter a Promotion;
4.2.2 internet access and a valid email address are required for online entries;
4.2.3 there is no charge to enter a Promotion, although standard internet connection and mobile data charges may apply; and
4.2.4 entries are limited to one per person per household.
4.3 By submitting an entry, participants confirm that they have read and understood these Standard Terms and the applicable Specific Terms and agree to be bound by them.
4.4 The Promoter is not responsible for entries that are lost, delayed, misdirected, incomplete, or corrupted due to technical failures, network issues, or any other cause beyond its reasonable control. Proof of submission is not proof of receipt.
5. Promotional Period
5.1 The start date, closing date, and closing time for each Promotion will be set out in the Specific Terms and/or the relevant marketing materials.
5.2 Entries received after the closing date and time will not be accepted.
5.3 For giveaways, items are subject to availability and will be distributed on a first-come, first-served basis while stocks last, unless otherwise stated in the Specific Terms. The Promoter will endeavour to communicate when all items have been allocated.
6. Selection of Winners
Prize Draws
6.1 For prize draws, winners will be selected at random from all valid entries received during the promotional period.
6.2 The draw will take place on the date specified in the Specific Terms, or as soon as reasonably practicable after the closing date.
6.3 The random selection will be conducted by the Promoter or a third party acting on the Promoter's behalf, using a method designed to ensure fairness.
Competitions
6.4 For competitions, winners will be selected by an independent judge or a panel of judges (including at least one independent member) based on the criteria specified in the Specific Terms.
6.5 Judging will take place on the date specified in the Specific Terms, or as soon as reasonably practicable after the closing date.
6.6 The name(s) of the judge(s) are available on request by contacting the Promoter using the details in clause 15.
All Promotions
6.7 The decision of the Promoter (or judge(s), as applicable) is final and no correspondence will be entered into regarding the selection of winners.
7. Prizes and Giveaway Items
7.1 Details of prizes or giveaway items (including quantity, value, and any specific conditions) will be set out in the Specific Terms.
7.2 Prizes and giveaway items are non-transferable and cannot be exchanged for cash or any other alternative, unless otherwise stated in the Specific Terms.
7.3 If a prize or giveaway item becomes unavailable due to circumstances beyond the Promoter's control, the Promoter reserves the right to substitute it with an alternative of equal or greater value at its discretion.
7.4 Winners and recipients are responsible for any costs or expenses associated with claiming or using a prize or giveaway item, unless such costs are expressly stated as being included.
7.5 Prizes and giveaway items may be subject to additional terms and conditions imposed by the supplier or any third party connected to the Promotion.
7.6 To the fullest extent permitted by law, the Promoter is not liable for prizes provided by third parties and prizes may be subject to manufacturer’s or specific instructions for safe use.
8. Notification and Delivery
8.1 Winners of prize draws and competitions will be notified using the contact details provided in their entry, within a reasonable period after the draw or judging takes place.
8.2 Reasonable efforts will be made to contact winners. If a winner cannot be contacted within 14 days of the initial notification attempt, the prize may be forfeited and awarded to an alternative winner selected in accordance with these Standard Terms.
8.3 Where applicable, prizes and giveaway items will be dispatched within the timeframe specified in the Specific Terms. If no timeframe is specified, delivery will be within 28 days of claim or notification.
8.4 The Promoter is not liable for any loss, damage, or delay to prizes or giveaway items caused by postal services or any third-party courier, and has no obligation to provide replacements in such circumstances.
9. Publicity and Announcement of Winners
9.1 The surname and county of residence of winners may be made available on request, or published on the Promoter's website or social media channels, for a period of two months after the closing date of the Promotion.
9.2 Participants who do not wish their details to be included in any winners list must notify the Promoter in writing before the closing date of the Promotion.
9.3 Winners may be asked to participate in reasonable publicity activities connected with the Promotion. Participation in such publicity is not a condition of receiving a prize, unless otherwise stated in the Specific Terms.
10. Data Protection and Privacy
10.1 Personal information provided by participants will be processed by the Promoter in accordance with its privacy notice, available here.
10.2 Personal information will be used for the purposes of administering the Promotion, including (where applicable):
10.2.1 processing and validating entries;
10.2.2 contacting winners and arranging delivery of prizes or giveaway items;
10.2.3 publishing winners' details as described in clause 9; and
10.2.4 fulfilling any legal or regulatory obligations.
10.3 Where the fulfilment of prizes or giveaway items is managed by a third party, participants' names, postal addresses, and email addresses may be shared with that third party solely for the purpose of fulfilling the Promotion. Details of any such third parties will be provided in the Specific Terms.
10.4 Where a Promotion involves a partner organisation (for example, a charity or brand partner), participants may be invited to opt in to receive communications from that organisation. Any such opt-in will be voluntary and will be presented clearly at the point of entry.
10.5 The Promoter will not share personal information with third parties for marketing purposes without the participant's consent.
10.6 The Promoter may use a marketing agency to help manage promotions and may share personal data with such agencies as permitted by its privacy notice linked in clause 10.1.
11. Entries Involving Creative Content
11.1 Where a Promotion requires participants to submit creative content (such as photographs, videos, text, or other materials), the following provisions apply.
11.2 Participants retain ownership of all intellectual property rights in their entry, but grant the Promoter a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, modify, adapt, publish, and display the entry for purposes connected with the Promotion and the Promoter's general marketing activities.
11.3 This licence includes the right to sub-license to third parties and group companies, and to use the entry across all media.
11.4 By submitting an entry, participants warrant that:
11.4.1 the entry is their own original work and not AI generated (unless the Specific Terms permit it);
11.4.2 they have all necessary rights to submit the entry and grant the licence described above;
11.4.3 the entry does not infringe any third party's intellectual property rights or other rights;
11.4.4 the entry is not defamatory, offensive, threatening, discriminatory, distasteful, pornographic, or otherwise unlawful; and
11.4.5 if the entry contains images or recordings of other individuals, the participant has obtained their consent to use their image for the purposes of the Promotion.
11.5 The Promoter may request evidence of consent or rights clearance and reserves the right to disqualify any entry where satisfactory evidence is not provided.
12. Disqualification
12.1 The Promoter reserves the right to disqualify any entry or participant, and to withdraw any prize or giveaway item already awarded, if:
12.1.1 the entry does not comply with these Standard Terms or the applicable Specific Terms;
12.1.2 the entry is incomplete, illegible, fraudulent, or submitted in bad faith;
12.1.3 the Promoter reasonably believes that the entry is part of an attempt to manipulate or unfairly influence the outcome of the Promotion;
12.1.4 the participant has provided false or misleading information;
12.1.5 the participant uses multiple identities or submits bulk entries (more than one entry per household in any four-hour period, unless otherwise permitted);
12.1.6 the participant behaves in a manner that is disruptive, abusive, or otherwise inappropriate; or
12.1.7 the participant breaches any applicable law or regulation.
12.2 The Promoter's decision regarding disqualification is final.
13. Limitation of Liability
13.1 Nothing in these Standard Terms shall exclude or limit the Promoter's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
13.2 Subject to clause 13.1, the Promoter shall not be liable to any participant for:
13.2.1 any loss or damage that was not foreseeable at the time of entry;
13.2.2 any loss or damage caused by a third party;
13.2.3 any indirect or consequential loss; or
13.2.4 any technical failure, network issue, or other event beyond the Promoter's reasonable control that affects the operation of the Promotion or the delivery of prizes or giveaway items.
13.3 The Promoter, its sub-contractors, subsidiaries, and agencies cannot accept responsibility for any technical failure or malfunction that results in any entry being lost or not properly registered.
14. Amendments, Suspension, and Cancellation
14.1 The Promoter reserves the right to cancel, amend, suspend, or terminate any Promotion, or to modify these Standard Terms or any Specific Terms, at any time without prior notice if circumstances arise beyond the Promoter's reasonable control, or if required to do so for legal, regulatory, or security reasons.
14.2 Where reasonably practicable, the Promoter will publish notice of any material changes on its website or in the relevant marketing materials.
14.3 The Promoter shall not be liable to any participant as a result of any cancellation, amendment, suspension, or termination of a Promotion in accordance with this clause 14.
15. Contact and Complaints
15.1 Queries or complaints relating to any Promotion can be submitted to the Promoter by email at reception@flahavans.com.
15.2 The Promoter will endeavour to respond to all queries and complaints within a reasonable timeframe.
16. Accessibility
16.1 If you have any difficulty accessing or entering a Promotion, please contact the Promoter at reception@flahavans.com.
16.2 If you would like these Standard Terms or any Specific Terms in an alternative format (for example, large print), please contact the Promoter and we will endeavour to provide it.
17. General
17.1 If any provision of these Standard Terms is found to be invalid or unenforceable, that provision shall be deemed deleted and shall not affect the validity or enforceability of the remaining provisions.
17.2 The Promoter's failure to enforce any right or provision of these Standard Terms shall not constitute a waiver of that right or provision.
17.3 These Standard Terms (together with the applicable Specific Terms) constitute the entire agreement between the participant and the Promoter in relation to the relevant Promotion.
17.4 These Standard Terms, and any dispute arising out of or in connection with them, shall be governed by the laws of England and Wales.
17.5 Any disputes shall be subject to the non-exclusive jurisdiction of the courts of England and Wales, although participants who are resident elsewhere in the United Kingdom retain the benefit of any mandatory protections afforded by the laws of their country of residence and may bring proceedings in their local courts.
